    Здравствуйте, нас совсем запутали два адвоката которые тянут время возможно с целью больше денег взять не знаю. Ситуация вкратце следующая. Имеется крупное сельхозпредприятие (более 5000 Га полей и более 600 человек) со своей сельхозтехникой и необходимой инфраструктурой. Предприятию 14 лет. Хотим открыть филиал в США во первых для прямого назначения (закупка запчастей на сельхозтехнику, удобрений, химикатов и тд) и второе это открыть параллельный бизнес не имеющий прямого отношения к сельскому хозяйству. Кто в теме пожалуйста не могли бы вы более менее подробно ответить на следующие вопросы. Открываемся в штате Индиана. Находимся там же. Офис уже арендован.

    1. Можем ли мы параллельно открывать другой вид деятельности?
    2. Что лучше открыть LLC или C Corporation или еще что то? (те два варианта считаю наиболее оптимальными)
    3. В чем основные плюсы и минусы LLC или C Corporation ?
    4. На старт можем положить на карту 50 000, это достаточная сумма?
    5. Ваши советы на что стоит обратить внимание при подобной процедуре?
    6. По какому из пяти способов лучше показывать родство? (подходим теоретически почти под все)

    Спасибо за внимание, очень хочется услышать мнение знающих людей.

    Самое принципиальное отличие между LLC и S-Corp - налогобложение. В случае LLC весь доход предприятия является доходом его членов (учредителей). В случае с корпорацией, она как бы существует отдельно от учредителей, те могут получать зарплату или дивиденды, с которых и будут платить налоги, а "корпоративный остаток" будет облагаться фиксированным "корпоративным налогом" (или в некоторых случаях наоборот, сначала платится корпоративный доход, но он снижает налог, "вытащенный с предприятия" его учредителями). По большому счету, других особых преимуществ одного типа формы собственности перед другим нет. И даже налоговое преимущество может быть "компенсировано" грамотно построенной бухгалтерией.

    В принципе, я видел и очень большие предприятия, которые являются LLC, видел и маленькие конторки, состоящие из одного человека, являющиеся S-Corporation.

      Вы ошибочно вставили сабчаптер S-корп когда топик стартер спрашивал про регуляр C-корп. Он не будучи резидентом США не может открыть S-корп где будет маджоритарным акционером. А C-корп может.

        Как я понимаю в данном случае лучше открывать LLC? Для этого я нахожу регистрационного агена, отправляю форму на открытие секретарю штата, после одобрения иду в IRS для получения TaxpayerID, пишу оператинг агримент и тд? А на каком этапе показывается родство компании? при регистрации LLC или только в оператинг агрименте?

        Да, S-corp не подходит потому что: There are some limitations on S-Corporations: they cannot deduct some expenses like health insurance, travel, entertainment, etc. that normal corporations can. Also, they are restricted to 100 shareholders or fewer and those shareholders must be U.S. Citizens. Finally, S-Corporations may not own or be owned by other business entities.

        По C corp получается что: A corporation is a separate legal entity that can shield the owners from personal liability and company debt. As a separate entity, it can buy real estate, enter into contracts, sue and be sued completely separately from its owners. Also, money can be raised easier via the sale of stock; its ownership can be transferred via the transfer of stock; the duration of the corporation is perpetual (the business can continue regardless of ownership); and the tax advantages can be considerable (i.e. you are able to deduct many business expenses, healthcare programs, etc. that other legal entities are not). Income is reported completely separate via a tax return for the corporation.
        A corporation is set up in this structure:
        Shareholders own the stock of the corporation.
        Shareholders elect Directors (known as the "Board of Directors").
        Directors appoint Officers (President, Secretary, Treasurer, etc.).
        Officers run the company (day-to-day operations).
        In many cases (especially during the startup phase), you will be the 100% owner of the stock, therefore you elect the directors (usually yourself) and then appoint yourself as an officer (or all the officers: CEO, Treasurer, Secretary).
        The rules for operating your corporation are set in what are called Corporate Bylaws. This document sets the rules for the company and can be modified as the business grows and changes.         Может действительно делать LLC? Там более простая схема и вроде как вполне подходит для открытия филиала для нерезидентов.
